Niki, I love this so much. When I was working at Carta, we were pushing and hoping for product to have some type of staging area for what you mentioned. It would have also been so helpful to have in cases that we need to go and test something in sandbox - that way instead of having to recreate every action in production, you could simply push a button to make the changes happen in production as soon as you verified the changes were correct. (Brent, this is an awesome product suggestion that Niki brought up!)
Also, with all the hype with AI going on now, I was thinking about an idea for an AI-tool that would allow founders and their attorneys to input term sheets and it could automatically model the different terms using the company's current cap table. Also would be cool if that product could also take the financing round's terms and documents and automatically update the cap table once the round is closed.

Hi Chris - good question! I think I would say having real-time updates to the equity management is a challenge.
It's still largely dependent on a human inputting the data/transcribing it from a board consent, equity document, SAFE, etc. This can cause some time lag as the paralegal needs to set aside time to input it, and also there's a chance of error in transcribing the data from a board consent, equity document, etc. onto Carta. Having a pending equity table staging area might be cool and also a way for the schedule of purchasers to be in Carta before closing so that it could be released basically right upon the closing of the equity financing. We use independent/separate document tracking and then we end up having to transcribe the data into Carta, check it for errors, then it is released to be signed by the officers.
This just comes to mind, but I will not allow clients to mess up my cap tables - lol!

Niki, that's so cool that you've been basically raised in the equity world and have seen so much change! What would you say is the biggest challenge that Carta and other software providers face when it comes to equity management?
P.S. I also need some new swag with the new branding. 😃

Hi there! I'm Niki and I'm a senior paralegal at Mission Law Firm.
I started working in Big Law as a youngin and have grown up in this career by going through the progression of Excel spreadsheets printed into stock ledger binders to CapMX, and then the birth of eShares/Carta.
I'm looking to connect and knowledge share with others on pro tips/tricks as well as brainstorm system upgrades , as I'm full of crazy ideas. I'd also love some updated swag (although I love my eShares mug). Thanks!
