Right now, if I process a termination for someone but then upload a set of pending new grants prepared by the client and the set contains one or more new grants for the person whose termination is pending (which actually happens quite a lot), the new grants will never get terminated and will keep vesting unless someone manually catches them.

It would be really helpful if Carta could flag any new grants being made to someone whose termination is either pending or has already taken effect.

In the case of a pending termination, I would then speak to the client to determine whether they want to either not issue the grant after all or issue the grant (and allow any vesting tranches occurring prior to the term date to vest) but then apply the pending termination to it. In the case of an employee whose termination was already effective as of the date of grant, in many cases, we would have to refrain from issuing the grant as a matter of law, since the ex-employee would be ineligible to receive grants under the applicable plan terms and securities exemption.

Thanks for sharing! We'll make sure to pass this on to the right team.

I know Shareworks has this same weakness and has it on the roadmap to improve.  Agreed that it's a surprisingly common scenario.
