Secondary share transfers

When an employee sells vested shares to an investor (or any other buyer), you'll need to record it in Carta to keep your cap table accurate.

Shares ledger → find the seller's certificate → Transfer

Enter the buyer's details, number of shares, transfer date, and price per share. Upload the transfer deed and any board approval as supporting documentation.

A few things to sort out before recording in Carta:

  • Right of first refusal (ROFR): Most AMEA companies require the company (and often investors) to waive ROFR before a secondary transfer can complete. Make sure that's done first.

  • Stamp duty: Singapore, Hong Kong, Australia, and several other AMEA markets require stamp duty on share transfers. Recording in Carta doesn't handle this — it's a separate filing.

  • Transfer restrictions: Check your articles and any shareholder agreements for applicable restrictions before proceeding.
