Learning Lab recap: Corporate Governance - July 9
Thank you to everyone who joined today's Corporate Governance Learning Lab with @Brianne Villamor , Customer Enablement Manager! The recording is embedded below and the slide deck is attached.
Recap highlights:
Company roles and board member setup - Brianne walked through Full Access vs. Company Editor permissions and how to add board directors and observers - directors are required to sign resolutions sent through the platform, while observers can view but not sign.
Cap table access levels - Covered all four levels (Restricted, Basic, Advanced, Full Detail) and how to grant group or individual access, so investors can pull cap table reports from their personal login without ever touching the company account.
Board consents and templates - Showed how to create, customize, and send consents for e-signature through Carta, including how the 409A summary auto-populates into the board consent template.
409A valuations - Walked through the full request process, what to expect during review, how to approve in Carta, and how to enter a non-Carta valuation. Also covered marking a material event to flag FMV as stale after a fundraise.
Form 3921 and ISO exercises - Demonstrated how to generate and deliver Form 3921 for ISO exercises, the TCC code requirement for electronic IRS filing, and how to bulk deliver participant statements in Carta.
