What actually blocks a Carta offboarding (it's not just pending exercises)
Most people know to check for pending exercises before running an termination. But that's not the only thing that stops it.
Here's the full list of things to clear first:
Pending exercises Go to Manage Equity > Options and filter by "exercise in progress." If one shows up with a failed payment status, it needs to be cancelled before you can proceed. Get written confirmation from the company first.
Open transfers A partial transfer reversal can leave shares in limbo on the back end even if the front end looks clean. Check for any transfers that were started but not fully resolved.
Active repurchase periods RSAs still sitting in a "repurchase period ending" state will block the flow. The system sees them as simultaneously terminated and canceled, so they have to be resolved before offboarding completes.
Payments the platform can't see Confirm with your payments team that there are no ongoing payments on their end. Some exercise-related payments may not surface in the offboarding view.
Board consent downloads If the offboarding task errors on the board consent download, use the workaround: go to Board > Board Documents and download from there directly.
Run through all five before you kick off the offboard. It can save a lot of back and forth.
What's tripped you up in an offboarding that isn't on this list?
